By resolution adopted on [BOARD VOTE DATE], the Board of Directors of [ASSOCIATION NAME] terminates the Management Agreement dated [AGREEMENT DATE] [pursuant to Section [X] (termination without cause), effective [EFFECTIVE DATE], being not less than the [60] days' notice the Agreement requires / pursuant to Section [X] (termination for cause), effective [EFFECTIVE DATE], the cure period having expired without cure as described in our notice of [CURE NOTICE DATE]].

Transition requirements

Per Section [X] of the Agreement, complete the following by the dates shown:

  • Within [7] days: transfer all Association funds, including operating and reserve balances, to [RECEIVING INSTITUTION AND ACCOUNT], and stop all further disbursements except those the Board approves in writing
  • Within [14] days: deliver all Association records — governing documents, owner ledgers and contact data, contracts, insurance policies, bank statements, invoices, correspondence, meeting records, and accounting software exports in a usable electronic format
  • On or before the effective date: surrender all keys, fobs, gate and alarm codes, portal administrator credentials, and any Association property
  • Within [30] days: deliver a final accounting through the effective date, including uncashed checks, pending invoices, and open work orders with status

Closing
