Service has slipped — late financials, ignored work orders, missed inspections — but the board isn't ready to terminate. This letter converts complaints into a documented breach record: specific contract sections, specific dates, a specific cure deadline. If performance recovers, you have a paper trail for renewal negotiations. If it doesn't, you have the for-cause termination predicate.
